Terms of Use

These Terms of Use (“Terms”) govern your use of the Ballast agent (“Ballast”, the “Service”), published by TALONOID Technologies Private Limited (“we”, “us”). By installing or using Ballast you agree to these Terms. If you do not agree, do not use the Service.

1. What Ballast is

Ballast is a Microsoft 365 Copilot agent that reports revenue and settlement figures from a Shopify order export you upload, and can export them to Excel. Ballast has no connection to your Shopify store and does not read, modify, or access it.

2. Subscription and billing

Ballast requires a paid subscription that is sold and billed by Microsoft through the commercial marketplace. Pricing, renewal, and cancellation are handled by Microsoft under Microsoft's marketplace terms. Using the Service also requires you to upload your own Shopify order export.

4. Accuracy and no professional advice

Ballast computes figures deterministically from the data your store returns through the Shopify API. Its output depends on that data being complete and correct. Ballast v1 reports revenue and settlement from order data and does not perform a bank-account reconciliation of Shopify Payments payouts. Ballast is a reporting tool, not accounting, tax, legal, or financial advice. You are responsible for verifying figures before relying on them, and for consulting a qualified professional where appropriate.

5. Availability

We aim to keep the Service available but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features, and will make reasonable efforts to communicate material changes.

6. Intellectual property

Ballast, including its software, engine, and branding, is owned by TALONOID Technologies Private Limited. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for the duration of your subscription. Your Shopify data remains yours.

7. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement.

8. Limitation of liability

To the maximum extent permitted by law, TALONOID Technologies Private Limited will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or relating to your use of the Service. Our aggregate liability for any claim relating to the Service will not exceed the amount you paid for the Service in the three months preceding the claim.

9. Termination

You may stop using Ballast at any time by removing your uploaded data and cancelling your subscription through Microsoft. We may suspend or terminate access for breach of these Terms or where required by law.

10. Changes to these Terms

We may update these Terms and will revise the “last updated” date above. Continued use after a change constitutes acceptance of the updated Terms.

11. Governing law

These Terms are governed by the laws applicable to TALONOID Technologies Private Limited's place of incorporation, without regard to conflict-of-laws rules.
